Our commitment
The Bobby Bajram Foundation Incorporated (the Foundation) is a not-for-profit organisation committed to ethical, transparent and effective stewardship of donations and community trust. We operate in accordance with our Constitution (adopted August 2025) and relevant Australian laws and standards for charities and incorporated associations.
Purpose
In line with our Constitution, the Foundation supports and promotes the work, advocacy and expeditions of Bobby Bajram; raises awareness about disability, resilience and inclusion; fundraises for aligned charitable causes; and empowers people living with disability through inspiration, storytelling and support programs.
Not-for-profit nature
All income and assets are applied solely to advancing the Foundation’s objectives. No portion is distributed to members or Directors, except as reasonable reimbursement for expenses incurred in their role.
Membership
Membership is open to individuals and organisations that support our objectives. Applications are submitted to the Secretary and approved by the Board. Members may attend and vote at general meetings, access documents and reports, and will be treated with respect and fairness.
Board of Directors
The Board is responsible for governance and strategic direction. At a minimum it comprises a Chairperson, Secretary, Treasurer and up to four additional Directors (with a Vice-Chairperson optional). Directors serve two-year terms and may be re-elected. The Board meets at least six times per year; a quorum is 50% of Directors. The Board may establish sub-committees and appoint staff or volunteers as necessary.
General Meetings
An Annual General Meeting (AGM) is held each August. Special general meetings may be called by the Board or by at least 20% of members. A quorum is five members or 50% of the total membership, whichever is greater.
Finance & accountability
Funds are banked in a Foundation account. Payments require two authorised signatories approved by the Board. The financial year ends 30 June. An annual financial report is prepared and audited as required by law.
Conflicts, conduct & safeguarding
Directors declare conflicts of interest and abstain from related decisions. We are committed to safe, inclusive practices and privacy protections in all programs, grants and events.
Constitutional changes & winding up
Amendments to the Constitution require a two-thirds majority at a general meeting with at least 14 days’ notice. If wound up, remaining assets transfer to a not-for-profit organisation with similar purposes.
